How the performance fee works

THE MOST DETAILED DOCUMENTED MECHANICS ON THE LIST – and at the same time the only genuine DEAL-BY-DEAL structure: (1) CALCULATION LEVEL: not whole-fund, but PER INVESTMENT/SLEEVE – for direct investments (other than certain direct debt investments made after 1 October 2018 that are not mezzanine direct investments) a separate waterfall calculation applies; for secondaries and certain direct debt a reduced rate of 10 % or a reduced hurdle applies. (2) HURDLE: preferred return of 8.0 % p.a., COMPOUNDED ANNUALLY; for direct debt 4.0 % p.a. (3) WATERFALL: all 'Relevant Distributions' from the investment remain with the fund until it has recovered the acquisition cost PLUS the preferred return – taking the timing of the cash flows into account (a genuine IRR calculation); thereafter 100 % of further distributions go to the AIFM as a CATCH-UP until it has received 15 % of the sum of the preferred return and the catch-up fee; the regular 15/85 split then applies. The 8 % hurdle is therefore a SOFT HURDLE with a 100 % GP catch-up. (4) HIGH-WATER MARK: no classic NAV HWM; losses are offset implicitly through the return of the acquisition cost of each investment – there is no cross-netting across all investments. (5) CRYSTALLISATION: on realisation/distribution of the respective investment ('Relevant Distributions'), i.e. ONLY ON REALISED gains, not on unrealised NAV increases. That is the key difference from the NAV-based total-return models of JPMorgan, BlackRock and DWS
